Apex Weave is an independent aftermarket brand specialising in carbon-fibre motorcycle parts, exterior components and visual upgrades.

These Terms apply when you access our website, browse our online store, create or use a customer account, contact us or place an order.

These Terms should be read together with our:

- Return, Withdrawal and Refund Policy;
- Shipping Policy;
- Privacy Policy;
- Cookie Policy;
- Legal Notice;
- product-page information;
- any notices or conditions presented before checkout.

By placing an order, you agree to the version of these Terms and related policies made available before the order is completed.

Nothing in these Terms excludes, restricts or limits any mandatory consumer right, statutory conformity right, product-liability rule or legal remedy that cannot lawfully be excluded.


1. USE OF THE WEBSITE

You may use this website only for lawful purposes.

You must not:

- use the website for fraudulent, illegal or unauthorised activity;
- submit false, misleading or incomplete information;
- interfere with the website, checkout or security systems;
- introduce viruses, malware or harmful code;
- attempt to gain unauthorised access to accounts, systems or data;
- scrape, copy or extract website content or data through unauthorised automated means;
- infringe the intellectual-property, privacy or other rights of Apex Weave or third parties;
- use the website in a way that may damage, disable, overload or impair its operation.

We may restrict or suspend access where reasonably necessary to protect the website, customers, payment systems or our business from fraud, misuse, security risks or unlawful activity.


2. ELIGIBILITY TO PURCHASE

By placing an order, you confirm that you are legally capable of entering into a binding contract under the law applicable to you.

Our products are motorcycle parts and accessories intended to be purchased by adults or by persons acting with the necessary legal authorisation.

We may request additional information where reasonably necessary to verify identity, payment, delivery information, product compatibility or fraud risk.


3. PRODUCT INFORMATION

Apex Weave primarily sells independent aftermarket carbon-fibre motorcycle parts, exterior components and visual-upgrade products.

Each product page identifies, where applicable:

- motorcycle manufacturer and model;
- production year or year range;
- model version;
- regional or market version;
- product type and position;
- material and construction;
- weave and finish;
- installation type;
- fulfilment or production status;
- estimated delivery period;
- road-use or approval status;
- other relevant specifications.

Customers must review the complete product page before placing an order.

Information displayed on the specific product page takes priority over general website descriptions where there is a difference.

Although Apex Weave currently specialises in carbon-fibre motorcycle parts, we may offer other closely related motorcycle products in the future. Where a product is not made from carbon fibre, the material, specifications and product-specific information displayed on that product page will apply.

We make reasonable efforts to ensure that product descriptions, photographs, prices, specifications and compatibility information are accurate.

Product photographs are intended to represent the product reasonably accurately. They should not be interpreted as permitting a substantially different product to be supplied.


4. CARBON-FIBRE CHARACTERISTICS

Carbon-fibre motorcycle parts may show minor visual variations arising from fibre placement, moulding, finishing and production processes.

Normal variations may include small differences in:

- weave alignment;
- fibre positioning;
- surface texture;
- gloss or matte appearance;
- clear-coat reflection;
- edge finishing;
- production-batch appearance;
- normal manufacturing tolerances.

These variations are part of the nature of carbon-fibre production and are not automatically defects where they do not materially affect:

- the agreed appearance;
- product identity;
- structural integrity;
- compatibility;
- safety;
- intended function.

This does not affect the customer’s rights where a product is materially different from its description, structurally defective, damaged, incorrectly supplied or otherwise non-conforming.


5. INDEPENDENT AFTERMARKET STATUS

Apex Weave is an independent aftermarket motorcycle-parts and visual-upgrade brand.

Motorcycle manufacturer names, model names, vehicle names and trademarks are used only to identify product compatibility.

Unless expressly stated:

- Apex Weave is not affiliated with the original motorcycle manufacturer;
- Apex Weave is not endorsed, sponsored or authorised by the original motorcycle manufacturer;
- Apex Weave products are not official original-manufacturer parts.

All third-party trademarks, model names and brand names belong to their respective owners.


6. FITMENT AND COMPATIBILITY

Motorcycle compatibility may vary according to:

- manufacturer;
- model;
- production year;
- model version;
- regional or market version;
- original part design;
- existing vehicle modifications.

The customer must provide complete and accurate motorcycle and fitment information.

Where reasonably necessary, Apex Weave may request:

- motorcycle manufacturer and model;
- production year;
- regional or market version;
- photographs of the motorcycle;
- photographs of the original component;
- photographs of mounting points;
- other information needed to confirm compatibility.

Apex Weave may place processing on hold while waiting for information reasonably required to confirm fitment.

Customers should contact Apex Weave before ordering where compatibility is uncertain.

If Apex Weave supplies the correct product based on:

- the information shown on the product page;
- the compatibility information available;
- the information supplied by the customer; and
- any written fitment confirmation,

but the customer supplied incorrect or incomplete information, the customer may be responsible for resulting return or replacement costs, subject to mandatory law and our Return, Withdrawal and Refund Policy.

If Apex Weave confirms incorrect compatibility, supplies the wrong product or provides materially inaccurate fitment information, Apex Weave will bear the reasonable costs required to resolve the issue in accordance with applicable law.


7. INSPECTION BEFORE INSTALLATION

The customer or installer must carefully inspect the product before permanent installation or modification.

Before installation, the customer should compare:

- the overall shape;
- dimensions;
- mounting points;
- hole positions;
- clearances;
- contact surfaces;
- the original motorcycle component;
- the product photographs and compatibility information.

If any possible compatibility, condition or product issue is identified, installation must stop and the customer must contact Apex Weave before:

- cutting;
- drilling;
- sanding;
- grinding;
- trimming;
- modifying holes or mounting points;
- applying permanent adhesive or sealant;
- painting or refinishing;
- carrying out structural modification;
- using the product on the road or track.

Modification before reporting a visible issue may affect the available remedy where the modification caused or increased the damage or loss in value.

This does not limit mandatory rights where the product was incorrect, defective, damaged or non-conforming when supplied.


8. INSTALLATION

Professional installation by a competent motorcycle workshop is recommended.

Installation requirements may differ according to the product and motorcycle.

The customer and installer are responsible for:

- inspecting the product before installation;
- using suitable tools and mounting methods;
- following reasonable installation practices;
- checking mounting points and clearances;
- using appropriate fasteners and tightening methods;
- ensuring that the product is securely installed;
- stopping installation if resistance, misalignment or incompatibility is identified;
- completing any legally required inspection or approval.

Apex Weave is not responsible for damage caused solely by:

- incorrect or forced installation;
- unsuitable tools;
- excessive tightening;
- unauthorised modification;
- use on an incompatible motorcycle;
- failure to stop after identifying an installation problem;
- failure to follow reasonable installation practices.

Nothing in this section excludes liability that cannot legally be excluded.


9. ROAD USE, APPROVAL AND HOMOLOGATION

Apex Weave products are independent aftermarket motorcycle parts and visual-upgrade components.

Unless expressly stated on the specific product page, a product is not represented as:

- E-marked;
- homologated;
- TÜV-approved;
- ABE-approved;
- ITV-approved;
- type-approved;
- supplied with an official road-use certificate;
- approved by the original motorcycle manufacturer.

The customer is responsible for checking whether a product may legally be installed or used on public roads in the destination country.

Requirements may depend on:

- product type;
- vehicle category;
- intended use;
- installation method;
- national or regional law;
- inspection requirements;
- registration requirements;
- insurance conditions.

Where a product page identifies a product as “track use only”, “competition use only”, “off-road use only” or similar, it must not be interpreted as approved for unrestricted public-road use.

Nothing in this section limits mandatory product-safety, consumer or product-liability rights.


10. MADE-TO-ORDER PRODUCTION

Most Apex Weave carbon-fibre motorcycle parts are manufactured, prepared or supplier-processed after the order and fitment details have been confirmed.

“Made to order” describes the production and fulfilment process.

It does not, by itself, mean that a standard catalogue product is legally personalised or excluded from an applicable right of withdrawal.

Made-to-order products may require production and preparation time before shipping.

Unless a different estimate is stated on the relevant product page, most made-to-order products are estimated to arrive within approximately 25 to 30 calendar days after payment and required fitment details have been confirmed.

The delivery period is an estimate and not a guaranteed delivery date.


11. PERSONALISED AND CUSTOMER-SPECIFIC PRODUCTS

Some products may be manufactured according to individual customer specifications or clearly personalised.

This may include:

- non-standard colours;
- special fibres or materials;
- customer-specific dimensions;
- modified holes or mounting points;
- customer-requested structural changes;
- personalised names, graphics or logos;
- non-standard weave or finish combinations;
- production based on customer-provided measurements, photographs, templates or original parts;
- other individual modifications that make normal resale impracticable.

Where permitted by applicable law, an applicable right of withdrawal may not apply to these products.

Any withdrawal exclusion based on personalisation or individual customer specifications will be disclosed before the order is completed.

This does not affect rights relating to defective, damaged, incorrect or non-conforming products.


12. ORDER PROCESS

After an order is placed, the customer will normally receive an electronic order acknowledgement.

An automated acknowledgement confirms that the order request has been received. It does not prevent Apex Weave from carrying out reasonable checks concerning:

- payment;
- fraud;
- product availability;
- supplier availability;
- shipping feasibility;
- fitment information;
- production feasibility;
- customs or legal restrictions;
- obvious pricing or technical errors.

Apex Weave may contact the customer before production or shipment to confirm fitment, delivery or order details.

An order is accepted when Apex Weave confirms acceptance, begins fulfilment or dispatches the product, depending on the circumstances and applicable mandatory law.


13. RIGHT TO REFUSE OR CANCEL AN ORDER

Apex Weave may refuse or cancel an order for a legitimate reason, including:

- suspected fraud or unauthorised payment;
- payment failure;
- an obvious pricing or technical error;
- product unavailability;
- supplier inability to fulfil the product;
- unsupported or restricted delivery destination;
- inability to confirm necessary fitment information;
- reasonable grounds to believe the product is incompatible;
- legal, safety, sanctions or regulatory restrictions;
- abusive or unlawful conduct.

Apex Weave will not arbitrarily cancel an accepted consumer order.

If Apex Weave cancels an order after payment has been received, the amount paid for the cancelled item or order will be refunded to the original payment method without undue delay, unless funds may lawfully be withheld because of fraud, payment abuse or another legally valid reason.


14. CUSTOMER ORDER CHANGES

Requests to change:

- motorcycle application;
- weave;
- finish;
- quantity;
- product;
- shipping address;
- other order details

must be submitted as soon as possible.

A requested change is not effective until confirmed in writing by Apex Weave.

Changes may no longer be possible once fitment confirmation, supplier processing, production, personalisation, packing or shipment has begun.

A change that increases the product, production or delivery cost may require additional payment before processing.


15. PRICES

Product prices are displayed in the currency selected or shown on the website or checkout.

The total amount payable is displayed before the order is completed.

Prices and promotions may change for future orders without notice.

A price change will not affect an already accepted order, except where:

- the customer agrees to an order change;
- there is an obvious and recognisable pricing error;
- correction is otherwise permitted or required by law.

Where an obvious pricing error is identified, Apex Weave may contact the customer to offer:

- purchase at the correct price; or
- cancellation and a full refund.

Apex Weave will not charge a higher corrected price without the customer’s agreement.


16. SHIPPING CHARGES

Shipping charges are separate from product prices and any import-related charges unless expressly stated otherwise.

Shipping availability, available delivery methods and shipping charges depend on factors including:

- destination country and delivery address;
- product type;
- parcel size and weight;
- available logistics route;
- carrier restrictions;
- customs requirements;
- remote-area or island delivery conditions.

The shipping charge displayed at checkout before payment is the shipping charge applicable to the order.

Shipping charges, delivery methods and free-shipping offers may change for future orders. Free shipping applies only where it is expressly displayed at checkout.

A different shipping charge or alternative shipping arrangement may be required where:

- the destination is classified as remote;
- the parcel is oversized or unusually heavy;
- the address is located on an island or in a restricted delivery area;
- a specialist carrier is required;
- the standard logistics route is unavailable;
- carrier or customs requirements make the original arrangement impracticable.

If a different shipping charge is required after an order has been placed, Apex Weave will contact the customer before production or dispatch.

The customer may:

- accept the revised shipping arrangement;
- provide another supported delivery address;
- cancel the affected order and receive the applicable refund.

Apex Weave will not impose an additional shipping charge without the customer’s agreement.

Shipping to destinations not currently available at checkout may be possible upon request. Customers should contact Apex Weave before ordering so that availability, delivery estimate, shipping cost and any available customs arrangement can be confirmed.

17. DUTIES, IMPORT TAXES AND CUSTOMS CHARGES

Shipping charges and import-related charges are separate unless checkout or the order confirmation expressly states otherwise.

For deliveries within the European Union, customers are normally not expected to pay additional import duties upon delivery.

For many destinations outside the European Union, Apex Weave may be able to arrange duties-paid or DDP-style shipping.

The availability of duties-paid or DDP-style shipping depends on factors including:

- destination country or region;
- delivery address;
- order value;
- product category;
- parcel size and weight;
- available logistics route;
- carrier;
- local customs requirements;
- applicable law.

Where duties and import-related charges are included for a specific order, this will be:

- displayed at checkout;
- confirmed before production; or
- stated in the order confirmation.

A duties-paid or DDP-style arrangement may not be available for every destination or every order.

Where duties, taxes or customs charges are not expressly confirmed as included, the recipient may be responsible for:

- import duties;
- import taxes;
- customs charges;
- brokerage fees;
- local handling fees;
- other destination-country charges.

Customers may contact Apex Weave before ordering if they would like confirmation of the likely shipping and customs arrangement for their destination.

Apex Weave will not knowingly represent duties or taxes as included and then require the customer to pay the same undisclosed charges upon delivery.

Customers remain responsible for providing any identification, personal customs code, tax number, customs information or delivery documentation lawfully requested by a carrier or customs authority.

Apex Weave is not responsible for customs delays caused by:

- customs inspections;
- local authority procedures;
- prohibited or restricted imports;
- missing customer documentation;
- inaccurate customer information;
- refusal to cooperate with lawful carrier or customs requests;
- circumstances outside Apex Weave’s reasonable control.

18. PAYMENT

Payment must be completed using a payment method available at checkout.

Orders may be placed on hold until payment is authorised and verified.

Payments may be processed by Shopify, Shopify Payments or another authorised payment provider.

Payment providers may apply:

- authentication procedures;
- fraud checks;
- transaction limits;
- security reviews;
- their own terms and privacy policies.

Apex Weave is not responsible for a payment provider’s independent rejection, security hold or account restriction.

This does not affect Apex Weave’s responsibility to correctly handle an accepted order or refund.


19. ORDER CANCELLATION REQUESTS

Customers may request operational cancellation within 24 hours after placing an order by contacting:

Cancellation is only confirmed when accepted in writing by Apex Weave.

Because most Apex Weave products are made to order, cancellation may no longer be operationally possible once:

- fitment confirmation has been completed;
- supplier processing has begun;
- production has begun;
- personalisation has begun;
- packing or shipping preparation has begun.

This operational cancellation procedure is separate from and does not replace any statutory withdrawal right available under applicable law.

20. SHIPPING AND DELIVERY

Apex Weave delivers to destinations supported by our available logistics routes.

The destinations currently available for direct online ordering are shown at checkout.

Shipping to additional countries may also be available upon request. Customers should contact Apex Weave before ordering so that shipping availability, estimated delivery time, shipping cost and any available customs arrangement can be confirmed.

Some remote areas, islands, restricted territories, military addresses or destinations not supported by our logistics partners may be unavailable or may require an alternative shipping arrangement.

Most Apex Weave products are made to order, prepared after purchase or supplier-processed after the order and required fitment details have been confirmed.

Unless a different estimate is stated on the relevant product page or confirmed for a specific order, most orders are estimated to arrive within approximately 25–30 calendar days after payment and all required fitment information have been confirmed.

Delivery times are estimates unless Apex Weave expressly agrees to a guaranteed delivery date in writing.

Production or delivery may be affected by:

- delayed fitment confirmation;
- production or supplier delay;
- quality-control requirements;
- high order volume;
- public holidays;
- carrier disruption;
- customs inspection;
- adverse weather;
- remote-area delivery;
- inaccurate or incomplete customer information;
- circumstances outside Apex Weave’s reasonable control.

Orders containing multiple products may be shipped in separate parcels because of:

- different production times;
- products prepared by different suppliers;
- parcel dimensions or weight;
- carrier restrictions;
- destination requirements.

Apex Weave will communicate material delays where reasonably possible.

Nothing in this section removes any right available under applicable law where delivery is not completed within an agreed or legally required period.

21. DELIVERY INFORMATION

The customer must provide complete and accurate:

- customer name;
- delivery address;
- apartment, building or unit details;
- postal code;
- telephone number;
- email address;
- customs or identification information where lawfully required.

The customer must promptly notify Apex Weave if an error is identified.

Address changes cannot be guaranteed once the order has entered production, fulfilment or shipping.

Reasonable additional costs caused by inaccurate or incomplete customer information may be charged to the customer or deducted from amounts otherwise refundable where permitted by applicable law.


22. DELIVERY RISK

For consumer orders, risk of accidental loss or damage remains with Apex Weave until the customer, or a person designated by the customer other than the carrier, physically receives the goods, except where applicable law provides otherwise.

Where the customer independently selects and instructs a carrier not offered by Apex Weave, risk may transfer when the goods are handed to that carrier where permitted by law.

Customers should report visible transport damage as soon as reasonably possible and retain the packaging to assist with investigation.

Failure to report damage immediately does not automatically remove mandatory consumer rights.


23. FAILED, REFUSED OR UNCLAIMED DELIVERIES

Refusing a parcel or failing to collect it does not automatically constitute a valid withdrawal request.

If a parcel cannot be delivered because of:

- an incorrect or incomplete address;
- repeated failed delivery attempts;
- failure to respond to the carrier;
- refusal of delivery;
- failure to collect the parcel;
- failure to provide lawfully requested information,

reasonable redelivery, return, storage, customs, carrier or handling costs may be charged to the customer or deducted from an otherwise refundable amount where permitted by applicable law.

This does not apply where the failed delivery was caused by Apex Weave or by a carrier acting on our behalf.


24. TRACKING AND SPLIT SHIPMENTS

Where tracking is available, tracking information will be provided after the parcel has been dispatched or entered the carrier network.

Tracking updates may take several business days to appear.

Some international routes may use more than one carrier. Tracking information may change when the parcel enters the final delivery network.

Orders containing multiple products may be shipped in separate parcels because of:

- different production times;
- products prepared by different suppliers;
- parcel size or weight;
- carrier restrictions;
- availability;
- destination requirements.

Where available, separate tracking information will be provided for each parcel.


25. LOST OR DAMAGED DELIVERIES

If a parcel appears to be lost, damaged or incorrectly delivered, the customer should contact:

The customer should provide:

- order number;
- customer name;
- delivery address;
- tracking number;
- photographs of the parcel and product where relevant;
- a description of the issue.

Apex Weave may request reasonable cooperation with a carrier investigation.

Where a parcel is confirmed lost or not properly delivered, Apex Weave will provide the remedy required by applicable law, which may include replacement, reshipment, refund or another appropriate solution.


26. RETURNS, WITHDRAWALS AND REFUNDS

Cancellations, withdrawals, returns, refunds, incorrect products, damaged products and fitment-related cases are governed by our Return, Withdrawal and Refund Policy.

Customers must contact Apex Weave before sending a product back so that the correct instructions and designated return address can be provided.

The company’s registered office is not a general product-return address.

The designated return address may vary according to the destination, product, logistics route and nature of the case.

Nothing in these Terms or our Return, Withdrawal and Refund Policy limits mandatory consumer rights.


27. PRODUCT CONDITION AND MODIFICATION

Products must not be permanently modified before compatibility, condition and specifications have been fully checked.

Actions including:

- cutting;
- drilling;
- sanding;
- grinding;
- trimming;
- changing mounting holes;
- structural modification;
- painting or refinishing;
- applying permanent adhesive or sealant;
- installation damage;
- road or track use

may reduce or destroy a product’s resale value.

This is especially important for carbon-fibre motorcycle parts, which may no longer be capable of being sold as new after cutting, drilling, sanding, structural modification or visible installation damage.

Where a customer exercises a withdrawal or voluntary return right, the customer may be responsible for diminished value caused by handling beyond what was reasonably necessary to inspect the product.

If modification, installation, use or damage means that the product can no longer reasonably be resold as new, the loss in value may amount to the full product value and the refundable amount may be reduced to zero where permitted by applicable law.

This does not affect rights where the product was incorrect, defective, damaged or non-conforming when supplied.

28. STATUTORY CONFORMITY RIGHTS

Products supplied to consumers are covered by mandatory statutory conformity rights under the law applicable to the purchase.

A product may be non-conforming where, among other matters, it:

- does not match the agreed description;
- is not of the agreed type, quantity or quality;
- does not provide the characteristics expressly agreed;
- is unsuitable for a specific purpose expressly accepted by Apex Weave;
- lacks agreed accessories or instructions;
- does not provide the durability or qualities required by applicable law.

Available remedies may include repair, replacement, price reduction or termination and refund, depending on applicable law and the circumstances.

Any separate commercial warranty offered by Apex Weave is additional to and does not replace statutory rights.


29. CUSTOMER-CAUSED DAMAGE

Statutory conformity rights do not cover problems caused solely by:

- incorrect or forced installation;
- excessive tightening;
- cutting, drilling or modification not authorised by Apex Weave;
- accident or impact;
- misuse;
- normal wear and tear;
- use on an incompatible motorcycle;
- use outside the product’s stated purpose;
- failure to follow reasonable installation or maintenance requirements;
- exposure to heat, chemicals, loads or conditions outside reasonable intended limits.

Apex Weave may request photographs, videos, installation information or physical inspection reasonably necessary to assess a claim.

Customers will not be required to prove matters beyond what may lawfully be requested under applicable consumer law.


30. THIRD-PARTY SERVICES

The website may use third-party services, including:

- Shopify;
- payment providers;
- carriers;
- customer-account services;
- analytics providers;
- communication tools;
- external links.

Third-party services may be subject to their own terms and privacy policies.

Apex Weave is not responsible for the independent operation, content or policies of third-party websites or services.

This does not remove Apex Weave’s responsibility for its own obligations or for service providers where the law makes Apex Weave responsible.


31. CUSTOMER REVIEWS, PHOTOGRAPHS AND SUBMISSIONS

Customers may send reviews, comments, product suggestions, photographs, videos or other content.

By submitting content, the customer confirms that:

- they have the right to submit it;
- it does not infringe third-party rights;
- it is not unlawful, defamatory, fraudulent or harmful;
- it does not contain malware or malicious code.

Submitting content for fitment checking or customer support does not automatically grant Apex Weave permission to publish it for marketing.

Where Apex Weave wishes to publish identifiable customer content for marketing, social media or promotional purposes, permission will be obtained where required.


32. INTELLECTUAL PROPERTY

Unless otherwise stated, website content owned by or licensed to Apex Weave includes:

- the Apex Weave name and branding;
- website layout and design;
- original text and product descriptions;
- graphics;
- photographs;
- videos;
- logos;
- databases and other original content.

Content may not be reproduced, distributed, modified, sold or commercially exploited without prior written permission, except where permitted by law.

Third-party motorcycle brands, model names and trademarks remain the property of their respective owners and are used for compatibility identification.


33. PROHIBITED CONDUCT

Users must not:

- place fraudulent orders;
- abuse payment disputes or chargebacks;
- impersonate another person;
- submit knowingly false fitment or delivery information;
- interfere with the website or checkout;
- obtain unauthorised access to customer or business data;
- copy website content through unauthorised scraping;
- use the website to infringe intellectual-property rights;
- threaten, harass or abuse staff, contractors or other users;
- use the service for unlawful activity.

Apex Weave may take proportionate measures, including cancelling fraudulent transactions, restricting website access or reporting unlawful conduct to relevant authorities.


34. WEBSITE AVAILABILITY

We aim to keep the website available and accurate, but uninterrupted access cannot be guaranteed.

The website may be temporarily unavailable because of:

- maintenance;
- security updates;
- Shopify or service-provider outages;
- technical errors;
- cyber incidents;
- circumstances outside our reasonable control.

Temporary website unavailability does not affect rights arising from orders already accepted.


35. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including where applicable liability for:

- death or personal injury caused by negligence;
- fraud or intentional misconduct;
- gross negligence;
- defective products;
- breach of mandatory consumer rights;
- breach of statutory conformity obligations.

Apex Weave is not responsible for loss or damage caused solely by:

- incorrect or forced installation;
- unauthorised modification;
- use on an incompatible motorcycle;
- misuse;
- use contrary to clear product instructions;
- failure to obtain a legally required inspection or approval;
- inaccurate information supplied by the customer.

For consumers, liability will not be excluded or limited beyond what applicable mandatory law permits.

For business customers, and to the extent permitted by law, Apex Weave will not be liable for indirect or consequential commercial losses, including loss of profit, revenue, business opportunity or data, except where caused by fraud, intentional misconduct or another liability that cannot legally be limited.


36. BUSINESS CUSTOMERS

A customer purchasing wholly or mainly for commercial, professional, workshop or resale purposes may be treated as a business customer where permitted by law.

Certain statutory consumer rights, including consumer withdrawal rights, may not apply to business purchases.

Business customers must identify themselves accurately and provide valid company and tax information where requested.

Unless otherwise agreed in writing, products purchased for resale must not be represented as official original-manufacturer products.


37. EVENTS OUTSIDE OUR REASONABLE CONTROL

Apex Weave will not be responsible for delay or failure caused by events outside its reasonable control, including:

- natural disasters;
- war or civil disturbance;
- government action;
- sanctions or trade restrictions;
- strikes;
- carrier shutdowns;
- customs disruption;
- severe weather;
- widespread telecommunications or platform failure;
- supplier or factory shutdown;
- public-health emergencies.

This does not remove any mandatory consumer right to cancel, receive a refund or obtain another applicable remedy.

Apex Weave will take reasonable steps to reduce the effect of disruption and communicate material delays.


38. PRIVACY

Personal information is processed according to our Privacy Policy and Cookie Policy.

Shopify, payment providers, carriers, suppliers and other service providers may process information as described in those policies.


39. SEVERABILITY AND NO WAIVER

If a provision of these Terms is found to be unlawful, invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary.

If it cannot lawfully be preserved, that portion will be treated as removed.

The remaining provisions will continue to apply where legally possible.

Failure or delay by Apex Weave in exercising a right does not automatically waive that right.

A waiver is effective only for the particular matter for which it is expressly given.


40. ENTIRE AGREEMENT AND ORDER OF PRIORITY

These Terms, together with the policies and product information made available before purchase, form the agreement governing use of the website and orders placed through it.

In the event of a conflict:

- mandatory law takes priority;
- specific written terms expressly agreed for an order take priority over general terms;
- product-specific information takes priority over general product descriptions;
- the Return, Withdrawal and Refund Policy governs returns and refunds;
- the Shipping Policy governs shipping procedures, charges and estimates;
- the Privacy Policy governs personal-information processing.


41. GOVERNING LAW AND CONSUMER RIGHTS

These Terms are governed by Spanish law.

Consumers retain any mandatory rights granted by the law of their country of habitual residence that cannot legally be excluded or limited through a contractual choice of law.

Nothing in these Terms prevents a consumer from bringing a claim before a competent court or consumer authority where such a right is granted by applicable law.


42. BUSINESS DISPUTES

Where the customer acts as a business and the parties have not agreed otherwise in writing, disputes may be submitted to the competent courts of Valencia, Spain, to the extent permitted by law.

This jurisdiction clause does not apply where mandatory law requires another competent court.


43. CHANGES TO THESE TERMS

We may update these Terms for future use of the website and future orders.

The version made available to the customer at the time an order is placed will normally govern that order.

Changes made after an order is placed will not retroactively alter the accepted order unless:

- required by law;
- necessary to correct an obvious error without reducing customer rights; or
- expressly agreed with the customer.
